These Terms of Service (“Terms”) govern access to and use of the earli AI platform and related services (“Service”) provided by earli AI (“earli”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
earli provides an AI-native people risk engagement, prevention, and benefits activation platform for group life, disability, and health use cases.
The Service enables Clients to:
Detect risks early
Profile individuals using AI-driven personas
Engage individuals with relevant interventions
Activate benefits and advisory workflows
The Service is intended for professional and organizational use only.
2. Eligibility & access
You must be authorized by a Client organization to access the Service.
Access is provided via secure authentication methods, including Microsoft Single Sign-On (SSO).
You are responsible for maintaining the confidentiality of your access credentials.
earli may suspend or revoke access if misuse or unauthorized access is detected.
3. Roles and responsibilities
3.1 earli’s role
earli:
Operates the Service as a technology provider
Acts as a data processor for personal data processed on behalf of Clients
Does not provide medical, legal, insurance, or financial advice
3.2 Client responsibilities
Clients are responsible for:
Ensuring lawful processing of personal data
Establishing a valid legal basis for data use
Informing individuals about data processing
Configuring access rights and permissions
Ensuring outputs are reviewed by qualified personnel
4. AI, profiling, and decision support
The Service uses AI models to:
Analyze patterns and signals
Detect risks
Generate predictive insights
Profile individuals into persona types
Important limitations:
Outputs are decision-support tools, not decisions
No automated decision-making with legal or similarly significant effects is intended without human oversight
Clients remain responsible for all actions taken based on platform insights
5. Acceptable use
You agree not to:
Use the Service for unlawful or discriminatory purposes
Attempt to re-identify individuals beyond authorized scope
Reverse engineer or misuse AI models
Circumvent security or access controls
Use the Service outside agreed purposes
Violation may result in suspension or termination.

earli applies privacy-by-design, data minimization, and security best practices at all times.
7. Intellectual property
The Service, software, AI models, and documentation are the exclusive property of earli
Clients receive a limited, non-exclusive, non-transferable license to use the Service during the contract term
No ownership rights are transferred
Feedback provided may be used by earli to improve the Service.
8. Confidentiality
Each party agrees to:
Protect confidential information
Use it only for permitted purposes
Apply reasonable security measures
Confidentiality obligations survive termination.
9. Service availability
The Service is provided on an “as available” basis
earli aims for high availability but does not guarantee uninterrupted operation
Maintenance and updates may occur without prior notice where necessary
10. Third-party services
The Service may reference or connect to third-party services (e.g. benefits providers).
earli is not responsible for third-party services, content, or outcomes.
11. Fees & payment
Fees, billing terms, and service scope are defined in a separate agreement or order form between earli and the Client.
12. Term & termination
These Terms remain in effect while you use the Service
earli may suspend or terminate access for breach, misuse, or legal requirements
Upon termination, access ceases and data handling follows contractual and legal obligations
13. Disclaimers
The Service is provided “as is” and “as available”.
earli does not warrant that:
Insights are error-free
Outcomes will meet specific business or health results
Risks will always be detected
The Service does not replace professional judgment.
14. Limitation of liability
To the maximum extent permitted by law:
earli is not liable for indirect, incidental, or consequential damages
Total liability is limited to fees paid during the preceding 12 months
Nothing limits liability where prohibited by law.
15. Indemnification
Clients agree to indemnify earli against claims arising from:
Unlawful data use
Unauthorized access
Misuse of platform insights
Breach of applicable laws or regulations
16. Governing law
These Terms are governed by the laws of [Insert jurisdiction, e.g. Denmark or EU member state], without regard to conflict-of-law principles.
17. Changes to the Terms
earli may update these Terms from time to time.
